1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Zenith platform operated by SnapX Academy ("we," "our," or "us"). By accessing or using Zenith, you agree to be bound by these Terms. If you do not agree, you may not use the platform.

If you are using Zenith on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Zenith is an AI-powered autonomous ServiceNow architect that helps users design, generate, and deploy ServiceNow applications. The platform includes business analysis, instance research, architecture generation, quality checks, automated deployment, and documentation generation capabilities.

3. Account Registration

To use Zenith, you must:

• Create an account using a valid Google account or email address
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. ServiceNow Instance Access

You represent and warrant that:

• You have the authority to grant Zenith access to your ServiceNow instance
• Your use of Zenith complies with your organization's policies and your ServiceNow license agreement
• You have appropriate permissions to create, modify, and deploy configurations on the instance
• You will review all proposed changes before authorizing deployment

5. Acceptable Use

You agree not to use Zenith to:

• Violate any applicable laws, regulations, or third-party rights
• Access ServiceNow instances without proper authorization
• Attempt to reverse-engineer, decompile, or disassemble the platform
• Introduce malicious code, viruses, or harmful components
• Interfere with or disrupt the platform or its infrastructure
• Circumvent security features, usage limits, or access controls
• Share your account credentials with unauthorized parties
• Use the platform for competitive analysis or to build a competing product

6. Intellectual Property

6.1 Platform Ownership

The Zenith platform, including its software, design, algorithms, documentation, and all related intellectual property, is owned by SnapX Academy and protected by copyright, trademark, and other intellectual property laws.

6.2 Generated Content

Applications, configurations, scripts, and documentation generated by Zenith for your projects are owned by you, subject to the following:

• You retain ownership of your business requirements and input data
• Generated ServiceNow configurations deployed to your instance belong to you
• We retain the right to use anonymized patterns and metadata to improve our AI models
• Template designs and underlying algorithms remain our intellectual property

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to Zenith. The platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime in advance.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SNAPX ACADEMY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF ZENITH, INCLUDING BUT NOT LIMITED TO:

• Damage to your ServiceNow instance or data
• Service disruptions or downtime on your instance
• Inaccurate or incomplete generated configurations
• Loss of data, profits, or business opportunities
• Unauthorized access resulting from credential compromise

Our total liability for any claims under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless SnapX Academy and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of Zenith, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to Zenith at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the platform ceases immediately
• Configurations already deployed to your ServiceNow instance remain yours
• We may delete your account data after a reasonable retention period
• Provisions that by their nature should survive termination will survive

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the platform. Your continued use of Zenith after changes become effective constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.
